These Terms of Service ("Terms") govern your access to and use of digitalempireagency.com (the "Site") and the marketing services offered by Digital Empire Agency ("Digital Empire," "we," "us," or "our"). By browsing the Site, submitting a form, booking a call, or engaging our Services, you agree to be bound by these Terms. If you're using the Site or Services on behalf of a business, you're agreeing on that business's behalf and confirming you have authority to do so.

Our services

Digital Empire provides embedded marketing services delivered by a dedicated human specialist — part-time, full-time, or a full team — and supported by our Olympus AI platform, across domains such as strategy, paid media, SEO, creative, outbound, web/CRO, and social. The specific scope, deliverables, timeline, and fees for any paid engagement are defined in a separate individual service agreement or statement of work ("Service Agreement") between you and Digital Empire. If anything in a Service Agreement conflicts with these Terms, the Service Agreement controls for that engagement.

Free audits & consultations

Where we offer a free marketing audit, strategy call, or similar consultation, it's provided for informational purposes, at our discretion, and creates no obligation on either side to enter into a paid engagement. We reserve the right to limit, decline, or discontinue free offers at any time, including to manage capacity.

Engagements & billing

Unless a Service Agreement says otherwise, paid engagements are billed monthly in advance and run month-to-month, with no long-term lock-in. You may pause, scale, or cancel a plan with the notice described in your Service Agreement. Fees are non-refundable for periods already worked except as your Service Agreement or applicable law provides otherwise. Late or failed payments may result in suspension of Services.

Advertising spend & third-party platforms

Where our Services include running paid campaigns, advertising spend on platforms such as Google Ads or Meta Ads is billed by those platforms directly to your own ad account — Digital Empire's fees are for our management and strategy, not for media spend, unless your Service Agreement states otherwise. We are not responsible for the policies, pricing, outages, or account actions of third-party advertising or software platforms.

Acceptable use

You agree not to: misuse the Site or attempt to gain unauthorized access to it or our systems; interfere with the Site's operation (including via bots, scraping, or overloading our infrastructure); use the Site or Services for any unlawful, fraudulent, or deceptive purpose; or submit false or misleading information through our forms. You're responsible for the accuracy, legality, and your rights to use any materials, brand assets, or content you provide us for use in your campaigns.

Intellectual property

The Site's content, design, and the Olympus platform (including its software, agent architecture, and underlying technology) are owned by Digital Empire or our licensors and protected by intellectual property law. Nothing here grants you rights to our brand, platform, or Site content beyond what's needed to use them as intended. Deliverables we create specifically for you under a Service Agreement transfer to you as described in that agreement — typically upon full payment for the work in question. We may reference your business name and the general nature of our work together (e.g., in case studies or a client list) unless your Service Agreement says otherwise; we won't disclose your confidential business information or specific performance data without your consent.

No guarantee of results

Marketing and advertising performance depends on many factors outside our control — including your market, competitors, platform algorithm changes, your pricing and offer, and macroeconomic conditions. Digital Empire does not guarantee any specific outcome, ranking, amount of traffic, number of leads, sales, or return on ad spend. Past results referenced on the Site (including case studies and testimonials) are not a promise or guarantee of similar results for your business.

Third-party services & links

The Site integrates or links to third-party tools — including our scheduling and CRM provider, Google Analytics, Google Fonts, and social platforms. We don't control and aren't responsible for the content, availability, security, or practices of those third parties. Your use of any third-party service is governed by that provider's own terms.

Disclaimers & limitation of liability

The Site and Services are provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. To the maximum extent permitted by law: (a) Digital Empire is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the Site or Services; and (b) our total aggregate liability for any claim arising out of or relating to the Site or a Service Agreement is limited to the fees you actually paid to Digital Empire for the specific service giving rise to the claim in the three (3) months preceding the claim. Some jurisdictions don't allow certain limitations on liability, so some of the above may not apply to you.

Indemnification

You agree to indemnify and hold Digital Empire harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Site or Services, or materials you provide us that infringe a third party's rights.

Termination

We may suspend or terminate your access to the Site at any time, for any reason, including violation of these Terms. Termination of a paid engagement is governed by your Service Agreement. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply.

Governing law & disputes

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or our Services that isn't resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey, and you consent to personal jurisdiction there.

Changes to these Terms

We may update these Terms from time to time; the "Last updated" date above will reflect the most recent revision. Continuing to use the Site or our Services after changes take effect means you accept the updated Terms. Changes to an active Service Agreement require mutual written agreement.
